1. Parties and Definitions

1.1. Service Provider:

  • Company Name: HosterQ Holding Limited
  • Registered Address: 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ

1.2. Customer: The individual or entity purchasing HosterQ services, referred to as “User,” “Subscriber,” or “Account Holder.”

1.3. Definitions:

  • Service Downtime: Loss of access due to maintenance or emergencies.
  • Unacceptable Use: Activities violating this Agreement or applicable laws.

2. Services and Limitations

2.1. Scope of Services:

  • Web hosting, domain registration, SSL certificates, CDN, backups, and technical support.

2.2. Bandwidth Policy:

  • “Unlimited Bandwidth”: While no fixed limits are imposed, HosterQ reserves the right to throttle or restrict bandwidth if usage adversely impacts server performance, network stability, or other users’ experience (e.g., DDoS attacks, botnet traffic).

2.3. Performance Guarantee (SLA):

  • 99.9% Uptime: Monthly uptime guarantee. Compensation for non-compliance (see Annex A).
  • Exceptions: Force majeure, customer errors, or third-party services.

2.4. Infrastructure Changes:

  • HosterQ may modify hardware/software without prior notice to improve services.

3. Payments and Refunds

3.1. Pricing and Billing:

  • Prices are fixed for the initial term. Renewals may increase by inflation + up to 5%.
  • Overdue payments result in service suspension after 7 days. Data deletion occurs after 30 days.

3.2. Refund Policy:

  • Hosting Services:
    • Annual Plans: Full refund within 15 days of purchase.
    • Monthly Plans: Full refund within 3 days of purchase.
    • Refund requests must be submitted via email to [email protected].
  • Non-Refundable Services:
    • Domain registrations/transfers, dedicated servers, SSL certificates, and setup fees.

3.3. Payment Disputes:

  • Chargebacks or fraudulent disputes result in immediate account termination and data deletion.

4. User Obligations and Prohibited Activities

4.1. Account Security:

  • Users are responsible for passwords, 2FA, and unauthorized access.

4.2. Prohibited Content/Activities (Annex B):

  • Illegal Content: Child exploitation, terrorism, phishing, counterfeit goods, or copyright infringement.
  • Abusive Practices: Spam, crypto mining, brute-force attacks, or resource-intensive scripts.
  • SEO Abuse: Scraping, auto-generated content, or spammy backlinks.

4.3. Monitoring and Enforcement:

  • HosterQ may suspend accounts without notice for violations or suspicious activity.

5. Liability and Warranties

5.1. No Warranty:

  • Services are provided “as is.” HosterQ disclaims all implied warranties.

5.2. Limitation of Liability:

  • HosterQ is not liable for data loss, indirect damages (e.g., profits, reputation), or third-party software issues.
  • Maximum liability is limited to 6 months of fees paid.

5.3. Indemnification:

  • Customers agree to indemnify HosterQ against claims arising from their misuse.

6. Termination and Suspension

6.1. Termination by HosterQ:

  • Immediate Grounds: DMCA violations, illegal content, or payment fraud.
  • Suspension: Excessive resource use or security threats.

6.2. Termination by Customer:

  • Services may be canceled with 30 days’ written notice.

7. Data Privacy and GDPR Compliance

7.1. Data Handling:

  • Customer data is stored in EU-compliant data centers.
  • Backups are retained for 14 days post-termination.

7.2. Legal Disclosure:

  • Data may be disclosed under court order or legal obligation.

8. Force Majeure

  • HosterQ is not liable for failures due to cyberattacks, natural disasters, or government actions.

9. Dispute Resolution

9.1. Governing Law:

  • This Agreement is governed by English law.

9.2. Arbitration:

  • Disputes are resolved via the London Court of International Arbitration (LCIA).

10. Amendments

  • Changes are notified 30 days in advance via email and the client portal. Continued use implies acceptance.

ANNEX A: Service Level Agreement (SLA)

  • Uptime Compensation:
    • 99.0–98.9%: 10% service credit.
    • Below 98%: 25% service credit.

ANNEX B: Prohibited Content Details

  • Torrent trackers, carding forums, fake pharmaceuticals, hate speech, or unlicensed media.

Acceptance Clause:
“By purchasing HosterQ services, the Customer acknowledges that they have read, understood, and agreed to be bound by this Agreement and its Annexes.”
